1. Acceptance of Terms

By accessing and using the website located at eastidaho.org (or any associated domains) and participating in any programs offered by the East Idaho Cultural Foundation Inc. ("EICF," "we," "us," or "our"), you ("you" or "user") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms apply to all visitors, users, program participants, sponsors, donors, and others who access or use our services.

If you are accessing our services on behalf of an organization or business, you represent that you have the authority to bind that entity to these Terms.

2. About EICF

The East Idaho Cultural Foundation Inc. is a 501(c)(3) nonprofit organization incorporated in the state of Idaho. Our mission is to strengthen East Idaho through programs that support local entrepreneurs, artists, educators, and community members.

EICF partners with East Idaho Media Co., a for-profit production company, which serves as the contracted provider for certain services including video production, website development, and program administration. While these organizations work together, they are separate legal entities.

3. Use of Our Website

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable federal, state, local, or international law
• Attempt to gain unauthorized access to our systems or user accounts
• Interfere with or disrupt the operation of our website or services
• Transmit any viruses, malware, or harmful code
• Scrape, harvest, or collect data from our website without permission
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use our services to harass, abuse, or harm another person

4. LLC Filing Service

Our Idaho LLC registration tool is offered as a free service to help individuals prepare and submit LLC formation documents to the Idaho Secretary of State.

What We Do

• Provide a guided tool to collect the information required to file a Certificate of Organization with the Idaho Secretary of State
• Prepare and submit your filing documents on your behalf as organizer, at no cost to you
• Offer optional add-on services (at stated fees) including registered agent service and privacy address listing
• Forward state correspondence and documents to you by email

What We Do Not Do

• We do not provide legal advice. We are not a law firm and no attorney-client relationship is created by using our service.
• We do not provide tax advice. We recommend consulting a CPA or tax professional regarding your business structure and tax obligations.
• We do not guarantee approval of your filing by the Idaho Secretary of State
• We do not verify the accuracy of information you provide
• We do not act as your attorney, accountant, or business advisor

Fees and Payments

Our filing preparation service is free. However, the following fees may apply:

• State filing fees charged directly by the Idaho Secretary of State (currently $100 standard, $140 expedited, or $200 same-day, plus state convenience and processing fees). These fees are set by the state and subject to change.
• Optional privacy address service ($49/year, if selected)
• Optional registered agent service ($99/year, if selected)

Optional services are billed annually and will auto-renew unless cancelled with 30 days' notice before the renewal date. State filing fees are non-refundable once submitted to the state.

Your Responsibilities

You are solely responsible for:

• The accuracy and completeness of all information you provide
• Ensuring your chosen business name is available and compliant with Idaho law
• Compliance with all applicable business, tax, and regulatory requirements
• Obtaining any licenses, permits, or certifications required for your business
• Filing annual reports and maintaining your LLC in good standing
• Reviewing all documents before authorizing submission

5. Business Academy

Our Business Academy provides free educational video content and written materials about starting and running a business in Idaho. This content is for informational and educational purposes only and should not be considered professional advice.

Educational content is provided "as is" without warranties of any kind. Business laws, tax codes, and best practices change over time. We make reasonable efforts to keep content accurate and up to date but do not guarantee its current accuracy. You should verify any information with qualified professionals before making business decisions.

6. Free Website Program

EICF offers free website design, development, and hosting to qualifying East Idaho small businesses, subject to availability and eligibility criteria which may change at our discretion.

Eligibility

• Business must be located in East Idaho
• Business must be a registered entity (LLC, sole proprietorship, partnership, etc.)
• Other criteria may apply as outlined on the program page

Terms of Service Delivery

• We reserve the right to accept or decline applications at our discretion
• Websites are built on a standard template with limited customization
• You are responsible for providing accurate business content, images, and information
• We retain the right to include a small "Produced by East Idaho Media Co." attribution in the website footer
• We may discontinue hosting or request that a site be moved if the business closes, provides inaccurate information, or violates these Terms

7. Donations & Sponsorships

Donations to EICF are tax-deductible to the extent allowed by law. EICF is a registered 501(c)(3) organization. Donors will receive a written acknowledgment of their donation suitable for tax purposes.

Sponsorship benefits are outlined in each specific sponsorship agreement. Sponsorship payments are generally non-refundable once the corresponding program or event has begun or been promoted publicly.

Please consult your tax advisor regarding the deductibility of any contribution.

8. No Legal, Financial, or Tax Advice

The content we provide is general information only and is not tailored to your specific situation. You should consult a licensed attorney, CPA, or other qualified professional before making decisions that may have legal, financial, or tax consequences.

9. User Content

If you submit any content to us — including website applications, business information, photos, videos, testimonials, or other materials — you represent that:

• You own or have the right to use and share the content
• The content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights
• The content is accurate and not misleading
• The content does not contain viruses, malware, or harmful code

By submitting content, you grant EICF a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display the content in connection with our mission and programs, including for promotional purposes.

10. Intellectual Property

All content on our website that is not user content — including text, graphics, logos, videos, course materials, and software — is the property of EICF or our licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may view and download content for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

11. Third-Party Links & Services

Our website and services may contain links to or integrations with third-party websites or services, including but not limited to the Idaho Secretary of State, Cloudflare, payment processors, and Google. We do not control these third-party services and are not responsible for their content, privacy practices, or terms of use. Your interactions with third parties are solely between you and that third party.

12. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, EICF disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that our services will be uninterrupted, error-free, or free from viruses
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that any filing, application, or submission will be accepted or approved by a government agency

13. Limitation of Liability

To the fullest extent permitted by law, EICF, its directors, officers, employees, contractors, volunteers, and partners (including East Idaho Media Co.) shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to your use of our services, including but not limited to lost profits, lost business opportunities, lost data, or damages for personal injury or property damage.

Our total cumulative liability for any claim arising out of or relating to these Terms or your use of our services shall not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless EICF, its directors, officers, employees, contractors, volunteers, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Information or content you submit to us
• Your business operations, including your LLC

15. Termination

We reserve the right to suspend or terminate your access to our services at any time, for any reason, with or without notice, including if we believe you have violated these Terms. Upon termination, provisions that by their nature should survive will continue to apply, including intellectual property, disclaimers, liability limitations, and governing law.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Bonneville County, Idaho, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated through a notice on our website or by email if you have an account or active engagement with us. Your continued use of our services after the changes take effect constitutes your acceptance of the updated Terms.
